A határzárak sem állítják meg a befektetőket: lehet-e céget venni videohívásban?
/Szerző: Horgos LénárdMiközben a világjárvány kezdetén még egyáltalán nem tűnt reálisnak, hogy az online térben vegyenek cégeket a befektetők, ma már egyáltalán nem ritka, hogy úgy zárulnak tranzakciók, hogy a felek soha nem találkoztak „élőben”. A befektetők is alkalmazkodtak az új körülményekhez, mert alkalmazkodniuk kellett, a dealek során pedig felértékelődött a bizalom kérdése.
Egy éve tavasszal az – akkor még – ismeretlen vírus sokkolta a világgazdaságot. A cégeladások és felvásárlások piaca (M&A) is megtorpant. Sokan megijedtek, leálltak, kivártak. Az egyik felmérésben a befektetők fele mondta azt, hogy szünetet tartanak, figyelnek mi lesz: összeomlás, valamilyen alakú válság, egy hullám vagy több, és így tovább. Aztán szép lassan rájöttek a szereplők, hogy nincs más hátra, mint előre. Ugyanis a pénznek dolgoznia kell. A tulajdonosok egy idő után megkérdezik: „értem, hogy lezárások és pandémia van, de akkor addig senki nem fektet be, nem vesz céget sem?” Nincs megállás, azok a motivációk, amelyek hajtják a dealeket, nem múltak el: menni kell, venni kell.
Odamenni, megnézni, megfogni
Szeptemberben egy német befektető az egyik tranzakciónk során elutasította még az adott felvásárlási lehetőséget, egyértelműen kimondta: „Nem fizetünk ki milliárdokat egy cégért, amit nem láttunk, nem mentünk el személyesen megnézni”. Persze oda lehet küldeni a helyszínre egy helyi átvilágítót „megbizonyosodni”.
Nyilván a tranzakcióknak van egy hivatalos, szakmai vetülete: excelek, beszámolók, prezentációk, kimutatások, adatszoba. De van egy másik oldala is: az üzlet itt is hús-vér emberek között köttetik. Ideális esetben tulajdonostársakká válnak, közösen fognak örömteli és kemény pillanatokat megélni (osztalékot fizetünk vs. nagy baj van). Döntéseket hozni kollégákról és a jövőről. Egy teljes cégeladás esetén – ahol az eladó tulajdonos egy idő után „elsétál” – sem mindegy, kivel kötök üzletet, elhiszem-e, hogy amit kapok, az a mutatott, vélt (vagy valós?) értéket képviseli.
Ahogy az egyik nagy magántőkealap hazai vezetője mondta: nem utalok át milliárdokat, ha nem ismerem meg jobban a partnert, nem beszélünk a hobbijáról, nem ittam meg vele egy sört (vagy kávét). Tudnom kell, ki lesz az üzlettársam.
„Séta a parkban”
A lezárásokra és szociális távolságtartásra a befektetőknek is reagálniuk kellett. Az egyik nemzetközi kockázati tőkés vezette be az ajánlataiban, hogy bár megállapodhatunk az üzleti feltételekben online, de mielőtt az utalás megtörténik, a járványügyi előírások betartása mellett tegyünk egy közös sétát a parkban. Beszélgessünk kicsit offline, a való világban.
„Elmegyek, a szemébe nézek, megrázom a kezét – ez a megszokott folyamat. Nem hittem volna, hogy videóhívásban veszek céget” – mondta nevetve egy akvizíciókban érdekelt hazai informatikai cég vezetője.
Bizony változnak az idők. Úgy zárunk le rövidesen egy tranzakciót, hogy személyesen nem találkoztunk a vevővel. Ennek természetesen sokan örülnek, nem kell annyit utazni, nő a hatékonyság – de rengeteg hátránya is van. Azonban a friss elemzések azt mutatják, hogy a tranzakciók üzleti feltételeiben komoly negatív változás (tehát ezeknek a kockázatoknak a leképezése) nem látszik.
Felértékelődik a bizalom
Képernyőn keresztül meg lehet-e állapítani egy cégről, hogy kivételes, valóban „főnyeremény”? Vélhetően remegni fog a keze az utalásnál az adott befektetési igazgatónak. Ez azt is jelenti, hogy felértékelődik a bizalom: van-e már korábbi befektetője, egy hiteles tanácsadója, van-e egy fix pont, ami erősíti a komfortot. El kell hinned, hogy amit mondanak, amit látsz a virtuális anyagokban, az tényleg úgy van. Lehet, hogy szörfdeszkás pólóban, DJ-fejhallgatóban akarnak meggyőzni, hogy adj nekik 2 milliárdot – és közben a háttérben átsétál egy családtag vagy beinteget egy kisgyerek, aki épp digitális oktatásban vesz részt. És ez ma már tényleg nem kandikamera.
